1. Parties
The platform: Oleg Tarassenko, trading as HotelsCasa, Tax ID X2630452B, Calle Senyera 20, 46190 Riba-roja de Túria (Valencia), Spain, email [email protected] (hereinafter, “HotelsCasa” or “the platform”).
The carrier: the natural or legal person who registers in the exchange to offer goods transport services, with the data they declare upon registration and verify through the platform’s identity process.
2. Purpose
HotelsCasa provides the carrier with an information society service (Law 34/2002, LSSI-CE) consisting of making available a exchange of transport orders published by clients, a bidding system, a chat, a collection system, and an invoicing tool. HotelsCasa acts solely as an intermediary: it is not a party to the transport contract, which is concluded directly between the carrier and the client and is governed by Law 15/2009 on the contract for overland goods transport and, where applicable, by the CMR Convention.
3. Carrier Independence
The carrier acts on their own behalf, with their own means, at the times and in the area they choose, with the freedom to accept or reject any order and without exclusivity. They set their own prices in each bid; HotelsCasa does not impose rates, does not assign orders, does not organize the work, nor does it control the service. There is no employment, agency, or partnership relationship between the parties, nor is the carrier a representative of HotelsCasa.
4. Carrier’s Legal Obligations
The carrier declares and undertakes to:
- Be of legal age and have the capacity to contract.
- Hold the administrative authorizations required by overland transport regulations (Law 16/1987 on the Regulation of Overland Transport and its implementing regulations) for their vehicle and activity, where applicable; and hold the corresponding driving and circulation permits.
- Have the mandatory insurance for their vehicle and, if transporting professionally, liability insurance for the goods.
- Comply with their tax and Social Security obligations: if the activity is regular, be registered in the business census and in the corresponding scheme, and declare income obtained through the platform. HotelsCasa does not withhold taxes or contributions from the carrier.
- Provide truthful data upon registration, keep it up to date, and pass the identity verification.
- Transport only goods whose transport is permitted to them and comply with the offered conditions: deadline, care of the goods, delivery to the appropriate recipient.
The carrier is liable to the client and to third parties for damages, losses, and delays to the goods under the terms of Law 15/2009. HotelsCasa is not liable for them.
5. How the Exchange Works
The carrier sees the orders they can carry out according to their means and area, sends bids with a price and, if chosen, has five minutes to confirm. Once the order is confirmed and the client’s payment is held, they receive the contact details and carry out the pickup and delivery, confirming the latter with their mark in their dashboard. The delivery is confirmed when the client places theirs or provides their code, or when three days pass without the client confirming or reporting an issue; with both marks, payment is made. The detailed rules are in the exchange rules, which form part of this contract.
The carrier must keep the platform’s application installed on their phone to receive notifications. Without it, they cannot bid or be chosen.
6. Price, Collection, and Commission
- The freight price is the one the carrier sets in their bid. It is an amount for the carrier, not for HotelsCasa.
- The carrier authorizes HotelsCasa to collect the freight on their behalf and for their account (collection mandate) through the platform’s payment provider. The client pays the freight and the platform commission; the amount is held on their card and charged upon confirmation of delivery with the code. The freight is transferred in full to the carrier’s collection account; HotelsCasa never makes it its own.
- The HotelsCasa commission is paid by the client on the freight price, at the percentage published on the platform at the time of publishing the order, plus any applicable VAT. HotelsCasa does not invoice any commission to the carrier.
- If the client cancels before pickup, the hold is released and there is no charge or commission.
- The payment provider’s conditions (payment timelines, verification of the collection account) are accepted by the carrier when opening their collection account.
7. Invoicing on Behalf of the Carrier
In accordance with Article 5 of the Invoicing Regulations (Royal Decree 1619/2012), the carrier expressly authorizes HotelsCasa to issue, on their behalf and for their account, the invoices or receipts for the freight to clients, with the sequential numbering that the platform assigns to each carrier, based on the data they have declared. The carrier is responsible for the accuracy of that data (business name, Tax ID, address, status as a company or individual) and for accepting each invoice, which is made available in their dashboard; they may object to a specific invoice by notifying HotelsCasa within seven days of its issuance. When the carrier is an individual, a receipt is issued; when they are a company or professional, an invoice with VAT charged.
8. Tax Reporting (DAC7)
HotelsCasa is a platform operator for the purposes of Directive (EU) 2021/514 (DAC7) and its transposition in Spain. The carrier is informed that HotelsCasa will collect and report to the Tax Agency the identifying data and amounts collected through the platform required by regulations, and undertakes to provide the data requested for that purpose (Tax ID, address, and, where applicable, VAT identification number). The lack of such data allows HotelsCasa to suspend collections until it is provided.
9. Ratings, Suspension, and Deregistration
- Clients may rate each delivery. Ratings are shown on the carrier’s public profile.
- HotelsCasa may suspend or deregister a carrier who provides false data, fails to show up for confirmed orders, closes orders outside the platform that were known through it, transports prohibited goods, or makes improper use of the chat or client data.
- The carrier may deregister at any time from their dashboard, once confirmed orders are completed. Issued invoices are kept for the period required by law.
10. Personal Data
HotelsCasa processes the carrier’s data in accordance with the privacy policy, to provide the service, comply with its legal obligations (verification, invoicing, tax reporting), and display their public profile. The client’s contact data that the carrier receives for an order may only be used for that order.
11. Intellectual Property and Trademark
The carrier retains rights over the photos and texts they upload and authorizes HotelsCasa to display them on their profile and promote it on its channels. HotelsCasa retains all rights over the platform.
12. Modifications
HotelsCasa may modify these terms and the exchange rules by notifying in the dashboard at least fifteen days in advance. Already confirmed orders are governed by the terms in force at the time of confirmation. If the carrier does not accept the change, they may deregister at no cost.
13. Governing Law and Jurisdiction
This contract is governed by Spanish law. For disputes between HotelsCasa and the carrier, the courts and tribunals of Valencia (Spain) shall have jurisdiction, unless a mandatory rule establishes another forum.
